Agent EMP Extension — Extension Terms

These Extension Terms ("Terms") cover your use of the Agent EMP Extension browser extension, its sign-in and account pages, and the related service that checks whether you may use it (together, the "Extension"). "AgentEmp", "we" and "us" mean the business that operates AgentEmp and provides the Extension. "You" means the person using the Extension.

Agent EMP Extension is an optional browser page-refresh tool. It does not request, collect, or store credentials for HealthSherpa, CMS, or other third-party platforms. Signing in verifies your AgentEmp extension access. Page refresh does not guarantee an active session or replace required sign-in or re-authentication.

1. What the Extension is

The Extension is an optional browser tool that reloads browser tabs you choose, at an interval you choose. It does not submit forms, create or change enrollments or applications, sign you in to any website, or act on any website on your behalf. It does not guarantee that any website session will stay active, and it does not replace any sign-in, re-authentication, inactivity check or other requirement a website sets.

2. Who may use it

• The Extension is for business use by insurance agents and staff who work with AgentEmp and are authorized by their agency or organization to use it.
• You must sign in with your own email address. Don't share your account, your paired device, or its connection with anyone else.
• These Terms don't change any separate agreement you or your agency has with AgentEmp (for example, a lead or service agreement). Those agreements continue to govern their own subject matter. Accepting these Terms doesn't authorize any lead purchase, charge or other service.

3. License

While you're eligible and follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Extension on browsers you control, for your business work. We keep all other rights.

4. Your control

Using the Extension is up to you. Nothing refreshes until you pick a tab, choose an interval and press Start. You can pause or stop any tab, stop all tabs, disconnect the browser, or uninstall the Extension at any time.

5. Eligibility and automatic suspension

• Whether the Extension works for you depends on AgentEmp's agent records (Agent EMP access) listing your email address as an active agent for the product (ACA or Medicare) you connected.
• Refreshing stops automatically if your Agent EMP access is off, if you no longer appear on the Agent EMP access list, if an AgentEmp admin pauses your access, if your device is disconnected or revoked, or if you haven't accepted the current version of these Terms and the Privacy Notice.
• If we can't confirm your status (for example, the access source or our service is unavailable), refreshing pauses until your status can be confirmed.
• Status changes take effect on the next check, not instantly. Checks normally happen about once a minute, but can be delayed.

6. No guarantee of a persistent connection

Websites can sign you out, expire sessions, change how their pages work, or block automated reloading at any time. Refreshes can be delayed, skipped (for example while you're typing) or fail. The Extension may be unavailable because of maintenance, outages, browser changes or problems with services we rely on. You should not rely on the Extension to keep you signed in or connected to any website.

7. Your responsibilities

• Follow the rules, terms and security requirements of every website you use with the Extension, including any sign-in, re-authentication, inactivity or acceptable-use rules, and any licensing, certification or compliance obligations that apply to you.
• Keep your devices and accounts secure, and lock or sign out of your computer when you step away.
• Save your work. A refresh reloads the page, and unsaved information may be lost even though the Extension tries to wait while you're typing or have unsaved edits.
• Only use the Extension on sites and for work you're authorized to perform.

8. What you must not do

• Use the Extension to get around, defeat or interfere with any website's security, sign-in, session-timeout or access controls.
• Share credentials, accounts, paired devices or connection codes, or let anyone else use your access.
• Copy, modify, reverse engineer, decompile or disassemble the Extension, or bypass its eligibility checks, except to the extent applicable law allows this despite this restriction.
• Use the Extension unlawfully, or in a way that harms AgentEmp, other users or any website.

9. Intellectual property

The Extension, its software, design and the AgentEmp name and marks belong to AgentEmp or its licensors. Other names (such as CMS, HealthSherpa, Google or Chrome) belong to their owners. Agent EMP Extension is not affiliated with, sponsored by or endorsed by CMS, HealthSherpa or Google.

11. Disclaimers

To the maximum extent permitted by applicable law, the Extension is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Extension will be uninterrupted, timely, error-free or keep any session active. We are not responsible for changes to, or outages of, third-party websites, browsers, the access source or other services outside our control.

12. Limitation of liability

To the maximum extent permitted by applicable law, AgentEmp will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost commissions, lost enrollments, lost sales or business opportunities, lost profits, or lost or unsaved data, arising from or related to the Extension, even if we were told they were possible. To the same extent, our total liability for all claims related to the Extension is limited to the greater of the amount you paid specifically for the Extension in the 12 months before the claim (the Extension is currently provided without a separate charge) or the minimum amount required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, where applicable, liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence — and nothing in these Terms takes away rights you have under law that cannot be waived by agreement.

13. Indemnity

To the extent permitted by law, you agree to reimburse AgentEmp for reasonable losses and costs (including reasonable legal fees) from third-party claims to the extent they arise from your unlawful use of the Extension or your breach of these Terms. This does not apply to the extent a claim is caused by AgentEmp's own breach, negligence or misconduct.

14. Suspension and termination

You can stop using the Extension at any time by uninstalling it, and you can delete your Agent EMP Extension sign-in account from the Account page. We may suspend or end your access, including automatically as described in section 5, or if we reasonably believe you've broken these Terms, or if we stop offering the Extension. Sections that by their nature should continue (such as 8, 9 and 11 to 16) continue after termination.

15. Changes

We may update these Terms. We'll show the new version and its date here. If a change is material, we'll ask you to review and accept the new version before you can continue using the Extension. If you don't accept, you can stop using it.

16. General

If any part of these Terms is found unenforceable, the rest stays in effect, and the unenforceable part will be applied as closely to its intent as the law allows. Our not enforcing a provision isn't a waiver. You may not transfer these Terms without our consent.
